More compensation for condo association board members


Question:

Our bylaws state being a board member is a volunteer position only and no one on the board shall receive compensation except for specific reimbursements for association expenses upon showing a receipt. Our current board members are paying themselves on a regular basis disguising it as an "admin fee/stipend" on the annual budget. We are a self managed association. I know for a fact these are not reimbursements for association expenses or mileage by the board members but specific pre-determined payments to them. I am on the board and am to accept a stipend payment bud to not feel comfortable at all as this is not to be a paid position per our bylaws. I have all the check stubs dating back to the late 1990s for which the treasurer, and president have been paying themselves for many years. Can I hire an attorney on behalf of the association to sue those board members to force them to pay back to the association all the money that has been paid to them in this current year and past years that they were so wrongfully paid? We are a very small association with 13 units in Minnesota.
