Help: HOA conducting secretive board meetings

I am a HOA board member (vice-president) and I was just informed that my fellow HOA board directors had a meeting on Tuesday evening at the current president's home without notifying the membership or myself! We usually post meeting details/agenda at the clubhouse and there was no posting. However, this homeowner was notified, did not appear and decided to inform me-she felt it was not a very good move on both the HOA management and board president. Suggestions please

I don't know the *law* on this, but what does it say in your CC&R's? Did they vote on anything of import?

Instead of trying to guess the motives or process, find out the facts. Ask the President how board members were notified and let him/her know that you did not receive the notification. Also, ask to see a copy of the minutes so that you can have all the facts about what transpired.

The board president refuses to talk to me. At the last meeting me, he and another board member were the only ones in attendance. However, since the other two speak in a foreign language, they refused to talk to me or even include my input on anything. I confronted both the president and property manager (both of which speak broken English)and asked why I am being ignored and not allowed to speak and I was told by the president that he didn't want to talk to me. He was very angry, so I believe he held the meeting in his home, so that I could not attend. 
 
I have no idea what the meeting was about, what business was conducted, but I do have the note from the person who was notified-the note said that the president was having a board meeting at his home, the time, and he asked the homeowner to please come and bring her neighbor to discuss some important issues. That was it.

Board meetings should always be conducted in English since the meeting minutes must be in English so that they can be used for important business matters and translation from other languages can be inaccurate. 
 
I would insist that all meetings be held in english. Even as an owner (who is able to attend any meeting of the Board) you have the right to speak with regard to all items on the agenda. If a board member is preventing you from speaking, I would let them know what they are doing is improper and illegal. 
 
Under FL law, all meetings where a quorum of the board is present must be noticed to all owners, allowing them to attend and provide an agenda as to the items. The agenda cannot simply state a general reference to "important matters". A Board can also not deny you the right to speak at a meeting because they are angry at you.

Thanks Joyce! I'm in CA and can anyone give me suggestions on what steps to take next? The management no longer answers his phone, does not answer my emails, and either does the president. As for the other 3 men, there's no way to communicate unless through then other two idiots.

Sherry, the other homeowners are mostly Chinese and this gives the president and the management company an advantage over me. They also sent out communications (with association funds) in broken English and Chinese and I asked that they circulate my memo, too, but to also translate into Chinese for me and they flat out refused. They said I would be subject to a charge for them to do that...?

You're in a pickle all right. Here's a tool for translation - google language tool. You can cut and paste the Chinese into it and at least find out what's going on for the short term. In the long run, I'd ask this question - How invested are you in making things change? Are you invested enough to hire a lawyer? Are you invested enough to investigate the law and educate the board? Are you invested enough to go against a system that is obviously broken? It will take a lot of energy and probably some money. Is it worth it to you?

When a rogue board is breaking state HOA statutes as well as it'sown governing documents if Florida, what is are the consequences? 
 
 
 
Will the states Attorney General office be any help or do we need to go to a private attorney?
