Who controls association: condo board or council?


Question:

Our management agent recently quit and notified each condo resident that they would no longer provide services after 06/30/2017. Our Condo Board notified us at the last meeting that the new management agent would notify us where to send our monthly condo fees. But, our by-laws specifically give the Council of Unit Owners the power "(i) To hire and terminate managing agents...", not the Board. In fact, the by-laws also state that "The Board shall have the powers and duties necessary for the administration of the affairs of the Regime and may do all such acts and things as are not, by law or by these By-Laws, directed to be exercised and done by the Council." How do we force the Board to bring this important decision before the Council for vote?
