HOA power play: developer avoids board meeting


Question:

Our developer went broke, then a bank became the declarant and did not hold the required annual meeting. Then the bank sold off the 67 lots and now we have a new declarant. This declarant set up an annual meeting but the entire board which is declarant controlled did NOT show up for the so call annual meeting. They sent proxies with the property manager. I notified both the board and property manager that since the board was not present then they can not consider this a legal annual meeting in the State of Georgia. Has anyone else had this same problem with the board refusing to show up for the annual meeting? In April of last year a new Declarant took over and installed a one person board. Refuses to hold a annual meeting, refuses as the builder also to cut the high grass and weeds (3 ft Tall) next to my property, Our docs state no 2 family homes and he is building raised ranches (36) that have full kitchens on both levels, along with the bath, bedrooms and living rooms. Can we as Homeowners sue him for doing so and the County for violating the recorded docs filed with Barrow County Ga?
