Condo board is a no show for annual association meeting

Our developer went broke, then a bank became the declarant and did not hold the required annual meeting. Then the bank sold off the 67 lots and now we have a new declarant. This declarant set up a annual meeeting but the entire board which is declarant controlled did NOT show up for the so call annual meeting. They sent proxies with the property manager. I notified both the board and property manager that since the board was not present then they can not consider this a legal annual meeting in the State of Georgia. Has anyone else had this same problem with the board refusing to show up for the annual meeting.
