Can a condo board run on email correspondence alone?


Question:

My 32-unit, self-managed condo board in Minnesota always has had monthly board meetings, and owners were able to attend. Minutes and the monthly financials were always posted on the bulletin board. In the last meeting minutes, it was stated: "The board decided to go to a bi-monthly meeting schedule, since we already communicate freely and frequently via email. As such, the next meeting would normally be scheduled for mid-late December, but we decided to wait until January. So the next meeting will be Thursday , January 17th ... " There is nothing in our bylaws that say board meetings must be held monthly; however with board members communicating "freely and frequently via email", are they not bypassing how condominium business should be conducted? How does the secretary take minutes on emails? At the last meeting there were four board members present, but a vote on an issue said the vote was 4-1. At the annual meeting in August I questioned why the monthly minutes were so sketchy, and the secretary said she had a very busy life and didn't have time to take a lot of minutes, nor did she have time to transcribe them. Can association business be conducted by email out of sight of the owners?
