What counts as majority vote for HOA board?


Question:

Our Miami, Florida HOA By-Laws state that we need a minimum of 5 board members and maximum of 9 board members. Currently, we have 5 members and 4 vacancies. When we vote and we have 3 “yes” votes and 2 “no” votes, is the final result “yes”? In other words, must 5 out of 9 members agree on an issue, or is 3 out of 5 votes sufficient to consider the final vote as a “yes” vote?
