What's the deal with board member only meeting?

Question:

The Board of Directors of our HOA has frequent 'closed' meetings where only the Directors are in attendance. When confronted with FL 720.303 they say that our bylaws allow for meetings of only Board members and that the bylaws supersede FL 720.303. Are then correct ?
