How does new HOA run a board of directors meeting?

Question:

Who sets the agenda for a Board of Directors Meeting? We have a HOA with 36 lot owners in Florida. We're having a rather serious discussion to be polite about what to include, excluding standard items such as call to order, treasurers report, next meeting. This is normal business. Our secretary believes it is his job to create the agenda. Any help on this would be greatly appreciated.
