What would be wrong with having annual meeting a little late?

Question:

late-meetingOur docs state that we must have the annual meeting no later than November 15th each year and that members must be notified and given pertinent documents 14 to 28 days prior. No penalties are listed.

So what would be the big deal if we missed that date and had the meeting in early December? Why would this be a problem? I am in Ohio.
