Can HOA president spend money with board authorization?


Question:

Our HOA President contacted our lawyers to rewrite the bylaws without board approval or knowledge, racking up a rather large legal bill. Would this be considered a misappropriation of funds? If so, what legal steps should we take? Bylaws are very clear that no board member or officer may make promise of payment without board approval.  Florida
