Is assessment illegal because due to lack of board members?


Question:

A board member resigned over 8 months ago. That member was not replaced even though condo docs state that the remaining board members should fill the vacancy through a vote by the remaining board members. Subsequently, the board (minus one) prepared a budget for the coming year, one that increased assessments by 3% to cover the cost of increased management fees. Are the board's decisions legal given that there is a missing board member and condo documents were not followed?
