The rest of my board is resigning and I'm the only one left. Before they resign they want to choose new board members. I'm wondering if this is legal since there are no present openings to fill and, by our bylaws, there has to be a vote and there are time restrictions to this.
They wish to do this in one meeting and they did not give the members of the park sufficient time to do this.
Thoughts?
